Most construction disputes trace back to the contract. Andrew V. Cobbe, P.A. drafts, reviews, and negotiates construction contracts for contractors, subcontractors, owners, developers, and condominium associations, with the perspective of a lawyer who has also run projects as a licensed contractor.
Services include prime contracts, subcontracts, purchase orders, and design agreements; AIA, ConsensusDocs, and owner-drafted forms; standard subcontract and proposal templates for contractors; and change order, notice, and claim procedures that work in the field.
Payment terms: Florida courts enforce pay-if-paid clauses only when the shift of risk is clear and unambiguous; otherwise they are generally read as pay-when-paid.
Indemnity: section 725.06, Florida Statutes, limits indemnity provisions in construction contracts and requires specific terms for them to be enforceable.
Retainage: Florida law generally caps retainage on public projects, and private contracts should spell out when and how it is released.
Delay and damages: no-damages-for-delay clauses, liquidated damages, and waivers of consequential damages can decide who absorbs the cost of a late project.
Notice requirements: missed contractual notice deadlines are one of the most common ways valid claims are lost.
Yes. Direct contracts with homeowners above the statutory threshold generally must include required disclosures, including the Construction Lien Law notice under section 713.015 and the Florida Homeowners' Construction Recovery Fund notice under section 489.1425, Florida Statutes. Leaving them out can create problems when enforcing lien rights.
